1. Purpose of the Service

RareEarthMinerals.ai ("we", "our", "us") provides tools that help users analyse documents and generate insights relating to responsible sourcing, FPIC, water rights, ESG indicators, and supply-chain compliance under applicable legal frameworks (including, where relevant, UK GDPR, the Data Protection Act 2018, the Data Use and Access Act 2025, EU GDPR, EU Battery Regulation 2023/1542 and the EU AI Act 2025).

The Service is provided strictly for information and decision-support. It does not constitute legal, scientific, regulatory, or professional advice, nor does it guarantee accuracy, compliance, or the absence of bias in any system outputs (including AI-generated classifications or summaries).

2. User Responsibilities

You represent and warrant that you have lawful rights to upload all documents and data submitted to the platform. You agree not to upload:

You retain full ownership of your documents. You agree to indemnify and hold us harmless against claims arising from your uploads (including IP infringement, unlawful content, or data protection breaches caused by your materials).

3. Data Integrity & Chain-of-Custody

Uploaded documents are stored with immutable timestamps and cryptographic hashes (e.g., SHA-256) to support evidential traceability. We do not modify your original materials; all outputs are generated in a read-only manner.

Timestamps and hashes remain valid irrespective of password resets, account changes or personnel transitions. Where credentials are lost or ownership of an asset or document is disputed (e.g., M&A activity), we require formal identity verification (e.g., government ID + written authorisation from a senior representative). We may charge reasonable manual administration expenses (€50–€150) for such security checks.

4. Encryption & Access Controls

All data is encrypted in transit (TLS 1.3) and at rest (AES-256). Access to our systems is strictly permission-controlled and monitored.

We operate on a read-only basis with respect to your documents unless regulator, auditor, or retailer access is explicitly authorised by you. Ownership transfers (e.g., post-acquisition) require documentary evidence of transfer and identity verification; failure to provide this may result in access suspension until resolved.

5. Availability & Limitation of Liability

The Service is provided "as is" without warranties of any kind. To the fullest extent permitted by law, we are not liable for:

Our maximum aggregate liability is limited to the amount paid by you in the preceding 12 months (if any). You use the platform entirely at your own discretion and risk.

6. Account Termination

We may suspend or terminate accounts for misuse, security concerns or policy violations. You may delete your account at any time. We may retain limited logs for a short period (e.g., up to 90 days) for audit and security purposes, unless longer retention is required by law or regulatory obligation.

7. AI and Output Validation

Outputs are generated using AI and algorithmic techniques. We do not guarantee completeness, correctness, or absence of bias. You must independently verify all outputs before reliance. No liability is accepted for AI-generated inaccuracies, omissions, or hallucinations.

8. Data Sharing & Subprocessors

We may engage subprocessors (e.g., cloud hosting or database providers) under signed data processing agreements that comply with UK GDPR/DPA 2018 and EU GDPR. A current list is available on request. We do not sell data or share it for advertising purposes.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of Ireland. The courts of Ireland have exclusive jurisdiction, without prejudice to mandatory protections in your country of residence. We comply with applicable equivalents of UK GDPR and EU GDPR when dealing with international users.

10. Changes to Terms

We may update these Terms. Continued use constitutes acceptance. Material changes (e.g., new subprocessors or upgraded AI models) will be notified with reasonable notice.
